1Agreement to Terms
These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and NIRMAAN MITHRA DIGITAL SYSTEMS PRIVATE LIMITED ("Company", "Nirmaan Mithra", "we", "us", or "our") governing your access to and use of the Nirmaan Mithra construction management platform, software APIs, and associated professional consultancy services (including PMC Lite and Professional Scheduling).
By creating an account, initiating a free trial, or subscribing to our services, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
2Account Registration & Multi-Tenant Organization
When registering, you must provide accurate, current, and complete organization details. The individual creating the account represents that they have the corporate authority to bind the organization to these Terms. You are responsible for safeguarding your credentials and for all activities conducted under your organization account.
3Intellectual Property & Customer Data Ownership
Customer retains all right, title, and interest (including all intellectual property rights) in and to all data, BOQ files, drawings, schedules, and materials uploaded to the platform ("Customer Data"). Nirmaan Mithra claims no ownership over your construction project data.
Nirmaan Mithra retains all right, title, and interest in and to the platform, UI software, template matching algorithms, proprietary Gantt calculation engines, and platform documentation.
4SaaS Subscriptions & Payments
- Trial Period: We offer a 30-day free trial on selected subscription tiers. No credit card is required to begin.
- Billing: Subscriptions are billed in advance on a monthly or annual basis as specified in your order form or pricing tier.
- Taxes: All applicable taxes (including Goods and Services Tax - GST) will be added to invoiced fees in accordance with Indian tax regulations.
5Consultancy Services & PMC Lite Scope
For customers engaging Nirmaan Mithra for Professional Project Scheduling or PMC Lite Monitoring:
- Scheduling deliverables are formulated based on architectural and structural drawings provided by the customer.
- PMC Lite provides remote project monitoring, schedule reviews, and milestone delay identification. Unless explicitly contracted under a separate on-site PMC scope of work, PMC Lite is delivered remotely without full-time on-site safety or structural custody.
6Service Level & Availability
We target 99.9% uptime for the cloud software platform, excluding scheduled maintenance windows notified in advance. Daily automated encrypted backups are maintained to ensure business continuity.
7Governing Law & Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of India. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the competent courts in New Delhi, India.
